TenderHut has a conditional agreement to acquire Evertop

TenderHut has concluded a conditional agreement with the partners of Evertop, under which it will acquire 100% of shares in the company, TenderHut reported. The parties agreed that as part of the payment for the shares, TenderHut will issue 60,000 new series shares, which the current shareholders will take up in accordance with their proportions in Evertop's shares.

The condition for the entry into force of the agreement is the expression of unconditional consent to the change of the share structure of Evertop by the National Center for Research and Development by July 15 this year.

Evertop operates in the area of ​​outsourcing and IT consulting and has well-qualified staff that can significantly contribute to strengthening the issuer and its capital group. According to the information available to the issuer, Evertop has a team of 50 people, including forty highly qualified specialists IT. The acquisition of Evertop will allow the issuer to gain exposure to the Upper Silesian market, where the issuer has not had any branches so far, according to the company statement today.

According to the information that TenderHut has, the sales revenues of Evertop in 2020 amounted to approximately PLN 5.855 million, it was also announced.

TenderHut is a technological capital group focusing on offering outsourcing solutions. The company's flagship product is the Zonifero application, which simplifies office management. In addition, the company offers applications and solutions used by companies such as Unilever and Mondelez International. The company employs over 300 specialists. It has been listed on NewConnect since April 2021.
